Terms of Service

1. Introduction

Welcome to Speak Out, a service provided by Redwing Technologies LLC, also referred to as "Company", "we", "our", or "us". Our Terms of Service ("Terms" or "Terms of Service") govern your use of our Service, which includes our web pages and application located at https://speak-out.io and https://speak-out.io/terms-of-service, operated by Optery, Inc.

In addition to these Terms, our Privacy Policy also governs your use of our Service and explains how we collect, safeguard, and disclose information resulting from your use of our web pages. You can read our Privacy Policy at https://speak-out.io/privacy-policy.

By using our Service, you agree to be bound by these Terms and our Privacy Policy, collectively referred to as "Agreements". If you cannot comply with or do not agree with the Agreements, you may not use our Service. However, please let us know by emailing team@speak-out.io, and we will try to find a solution.

These Terms apply to all visitors, users, and anyone else who wishes to access or use our Service.

Regarding communication, by creating an Account on our Service, you agree to subscribe to our Email Newsletter and Data Broker Status Updates. You can opt-out of receiving these updates at any time by clicking the unsubscribe link at the bottom of each email or by updating the Notification Preferences section of your Account page.

We may also send you necessary account updates such as billing and account activity confirmations. If you do not wish to receive these updates, you must delete your account from the Login & Security section of your Account page.

2. Purchases

If you wish to make a Purchase of any product or service available through our Service, you may be asked to provide certain information related to your Purchase, such as your credit card number, the expiration date of your credit card, your billing address, and your shipping information.

By making a Purchase, you represent and warrant that you have the legal right to use any credit card or other payment method in connection with the Purchase and that the information you provide to us is true, correct, and complete.

To facilitate payment and the completion of your Purchase, we may use third-party services. By submitting your information, you allow us to provide it to these third parties subject to our Privacy Policy.

We reserve the right to refuse or cancel your order for reasons such as product or service availability, errors in the product or service description or price, errors in your order, or other reasons.

In addition, we reserve the right to refuse or cancel your order if we suspect fraud or an unauthorized or illegal transaction or if you violate our Terms.

3. Subscriptions

Certain parts of our Service are billed on a subscription basis, referred to as "Subscription(s)". Your payment for the Subscription will be processed in advance on a recurring and periodic basis, also known as the "Billing Cycle". Depending on the type of subscription plan you choose when purchasing a Subscription, the Billing Cycle may be set either on a monthly or annual basis.

At the end of each Billing Cycle, your Subscription will automatically renew under the same conditions unless you cancel it or Redwing Technologies LLC cancels it. You can cancel your Subscription renewal from your Account page (https://speak-out.io/user) or by contacting team@speak-out.

To process payment for your subscription, a valid payment method, such as a credit card, is required. You must provide accurate and complete billing information, including your full name, address, state, zip code, telephone number, and payment method information. By submitting payment information, you authorize Redwing Technologies LLC to charge all Subscription fees incurred through your account to the payment instrument provided.

If automatic billing fails to occur for any reason, Redwing Technologies LLC will issue an electronic invoice indicating that you must manually pay the full amount corresponding to the billing period by a certain deadline date.

Regarding our Database Services, our subscription plans provide services for accessing Redwing Technologies LLC's public affairs database and related services. Redwing Technologies LLC reserves the right to modify the data covered by the subscription plans, including adding or removing updated data points, without prior notice.

You acknowledge and agree that our databases are subject to ongoing changes, and that Redwing Technologies LLC will use good faith, but there is no guarantee or warranty of any kind.

As a condition to fulfilling your subscription plan, you must provide personally identifiable information (PII), such as your full name and current city and state of residence, to Redwing Technologies LLC.

4. Free Trial

Redwing Technologies LLC may choose to offer a Subscription with a limited free trial period, also referred to as a "Free Trial", at its sole discretion.

If Redwing Technologies LLC offers a Free Trial in the future, you may need to provide your billing information to sign up for it. However, you will not be charged by Redwing Technologies LLC until the Free Trial has expired. On the last day of the Free Trial period, unless you canceled your Subscription, the applicable Subscription fees for the Subscription type you selected will be charged automatically.

Redwing Technologies LLC reserves the right to modify the Terms of Service of the Free Trial offer or cancel it at any time and without prior notice.

5. Fee Changes

Redwing Technologies LLC has the authority to modify the Subscription fees for the Subscriptions at any time and at its sole discretion. Any changes to the Subscription fee will take effect at the end of the current Billing Cycle.

We will give you reasonable prior notice of any changes in the Subscription fees. This notice will provide you with an opportunity to terminate your Subscription before the new fee takes effect.

If you continue to use our Service after the modified Subscription fee becomes effective, you are agreeing to pay the new fee amount.

6. Refunds

Refunds for contracts are issued within thirty (30) days of the original purchase. To be eligible for a refund, you must cancel your subscription renewal within thirty (30) days of the initial contract purchase. Please note that only one original purchase of the contract is permitted, and as a result, multiple refund requests for the same account or individual will not be honored.

Regarding prohibited uses, you may only use our Service for lawful purposes and in accordance with our Terms. You agree not to use our Service:

(a) In a manner that violates any applicable national or international law or regulation.

(b) To exploit, harm, or attempt to exploit or harm minors in any way, including exposing them to inappropriate content.

(c) To impersonate Company, a Company employee, another user, or any other person or entity without their express permission.

(d) In a way that infringes upon the rights of others or is otherwise illegal, threatening, fraudulent, or harmful, or is connected with any unlawful, illegal, fraudulent, or harmful purpose or activity.

(e) To engage in any other conduct that may harm or offend Company or users of our Service or expose them to liability.

In addition, you agree not to:

(f) Use our Service in a way that could disable, overburden, damage, or impair our Service or interfere with any other party's use of our Service, including their ability to engage in real-time activities through our Service.

(g) Use any automatic device, process, or means to access our Service for any purpose, including monitoring or copying any material on our Service.

(h) Use any manual process to monitor or copy any material on our Service without our prior written consent.

(i) Use any device, software, or routine that interferes with the proper working of our Service.

(j) Introduce any malicious or technologically harmful material, such as viruses, trojan horses, worms, or logic bombs.

(k) Attempt to gain unauthorized access to, interfere with, damage, or disrupt any parts of our Service, the server on which our Service is stored, or any server, computer, or database connected to our Service.

(l) Attack our Service through a denial-of-service attack or a distributed denial-of-service attack.

(m) Take any action that may damage or falsify Company's rating.

(n) Otherwise attempt to interfere with the proper working of our Service.

(o) Gather or collect any other users' information from our site or Service without their express permission.

7. Third Party Vendors:

We may use third-party Service Providers to monitor, analyze, support, service, and market our Service. Redwing Technologies LLC utilizes the following third-party vendors:

We use Google Marketing Platform products, such as Google Analytics, Google Tag Manager, and Google Optimize, for product analytics, tag management, and user experience optimization. Please note that we do not explicitly store personal information in Google Marketing Platform. Google Analytics is a web analytics service that tracks and reports website traffic. Google uses the data collected to track and monitor the use of our Service, and this data is shared with other Google services. Google may also use the collected data to contextualize and personalize ads on its own advertising network.

We also use Meta (Facebook) products for digital marketing, where personal information such as email address and account status are used for digital marketing advertisement campaigns on Facebook. Profitwell is used for revenue management and metrics. For more information on Profitwell's stance on data security, please visit profitwell.com/security/.

We use SendGrid to send emails, where personal information such as email address and name are used to send account information and notifications through SendGrid. For more information on SendGrid's stance on data security, please visit sendgrid.com/policies/security/.

Stripe processes payments for Redwing Technologies LLC, such as credit card transactions. Please note that payment details such as credit card number, expiration date, and CVC code are never made accessible to Speak Out, a service of Redwing Technologies LLC. 8. No Use By Minors

Service is intended only for access and use by individuals at least eighteen (18) years old. By accessing or using any of Company, you warrant and represent that you are at least eighteen (18) years of age and with the full authority, right, and capacity to enter into this agreement and abide by all of the terms and conditions of Terms. If you are not at least eighteen (18) years old, you are prohibited from both the access and usage of Service.

9. Accounts

By creating an account with us, you confirm that you are at least 18 years old and that the information you provide us is accurate, complete, and current. Please note that inaccurate, incomplete, or outdated information may result in the immediate termination of your account on our Service.

It is your responsibility to maintain the confidentiality of your account and password, and to restrict access to your computer and/or account. You agree to take full responsibility for any activities or actions that occur under your account and/or password, whether the password is for our Service or a third-party service. If you become aware of any breach of security or unauthorized use of your account, you must inform us immediately.

When creating a username, you must not use the name of another person or entity that is not lawfully available for use or a name or trademark that is subject to any rights of another person or entity without appropriate authorization. You must not use any offensive, vulgar, or obscene names as your username.

Please note that only one active account per person is allowed, and you may not create or maintain multiple active accounts for yourself or another person at one time. Any duplicate active accounts may result in immediate cancellation and deletion of the duplicate accounts.

We reserve the right to refuse service, terminate accounts, remove or edit content, or cancel orders at our sole discretion.

10. Intellectual Property

Service and its original content (excluding Content provided by users), features and functionality are and will remain the exclusive property of Redwing Technologies LLC and its licensors. Service is protected by copyright, trademark, and other laws of the United States and foreign countries. Our trademarks and trade dress may not be used in connection with any product or service without the prior written consent of Redwing Technologies LLC.

11. Copyright Policy

We are committed to upholding the intellectual property rights of others. As such, it is our policy to promptly respond to any claims of copyright or other intellectual property infringement (“Infringement”) regarding Content posted on our Service.

If you are a copyright owner, or are authorized on behalf of one, and believe that your copyrighted work has been copied in a way that constitutes copyright infringement, please send an email to team@speak-out.io with the subject line “Copyright Infringement”. In your email, provide a detailed description of the alleged Infringement as described below in the section titled “DMCA Notice and Procedure for Copyright Infringement Claims”.

Please note that misrepresentation or bad-faith claims regarding the infringement of any Content found on or through our Service on your copyright may result in accountability for damages, including costs and attorney's fees.

12. DMCA Notice and Procedure for Copyright Infringement Claims

You may submit a notification pursuant to the Digital Millennium Copyright Act (DMCA) by providing our Copyright Agent with the following information in writing (see 17 U.S.C 512(c)(3) for further detail):

(a) an electronic or physical signature of the person authorized to act on behalf of the owner of the copyright’s interest.

(b) a description of the copyrighted work that you claim has been infringed, including the URL (i.e., web page address) of the location where the copyrighted work exists or a copy of the copyrighted work.

(c) identification of the URL or other specific location on Service where the material that you claim is infringing is located.

(d) your address, telephone number, and email address.

(e) a statement by you that you have a good faith belief that the disputed use is not authorized by the copyright owner, its agent, or the law.

(f) a statement by you, made under penalty of perjury, that the above information in your notice is accurate and that you are the copyright owner or authorized to act on the copyright owner’s behalf.

13. Error Reporting and Feedback

If you have any suggestions, feedback, complaints, or ideas related to our Service, you can send them directly to us at team@speak-out.io or through our Help Desk. By providing such Feedback, you acknowledge and agree that:

(i) you do not retain any intellectual property rights or any other right, title, or interest in the Feedback;

(ii) we may have similar development ideas already in progress;

(iii) the Feedback does not contain confidential or proprietary information from you or any third party;

(iv) we are not obligated to keep the Feedback confidential. If applicable laws prevent us from transferring ownership of the Feedback, you grant us and our affiliates an exclusive, transferable, irrevocable, royalty-free, sub-licensable, unlimited, and perpetual right to use the Feedback in any way and for any purpose, including copying, modifying, creating derivative works, publishing, distributing, and commercializing.

Redwing Technologies LLC is not responsible for any third-party websites or services linked to from our Service, as we do not control or own them. We do not guarantee the accuracy, reliability, or quality of any content, products, or services provided by these third-party entities or individuals.

By using our Service, you acknowledge and agree that Redwing Technologies LLC is not liable for any damages or losses arising from or connected to your use of any third-party websites or services. We strongly recommend that you review the terms of service and privacy policies of any third-party websites or services that you access.

The Services provided by the Company are offered on an "as is" and "as available" basis. The Company makes no representations or warranties, express or implied, regarding the operation of the Services or the information, content, or materials included therein. Your use of the Services, content, and any services or items obtained from the Company is solely at your own risk.

Neither the Company nor any individual associated with the Company makes any warranty or representation regarding the completeness, security, reliability, quality, accuracy, or availability of the Services. Moreover, the Company and its associates do not represent or warrant that the Services, content, or any services or items obtained through the Services will be accurate, reliable, error-free, or uninterrupted. They also do not guarantee that defects will be corrected, that the Services or server are free of viruses or other harmful components, or that the Services or any services or items obtained through the Services will meet your needs or expectations.

The Company disclaims all warranties of any kind, whether express or implied, statutory, or otherwise, including but not limited to any warranties of merchantability, non-infringement, and fitness for a particular purpose.

However, the above disclaimer does not affect any warranties that cannot be excluded or limited under applicable law.

16. Limitation of Liability

You agree to hold us and our officers, directors, employees, and agents harmless for any damages, whether indirect, punitive, special, incidental, or consequential, that may arise from this agreement, including without limitation any personal injury or property damage, or any violation by you of any federal, state, or local laws, statutes, rules, or regulations. This applies to any action of contract, negligence, or other tortious action. This includes attorneys’ fees and all related costs and expenses of litigation and arbitration, or at trial or on appeal, whether or not litigation or arbitration is instituted, and even if we have been previously advised of the possibility of such damage.

If we are found liable, our liability will be limited to the amount paid for the products and/or services. Under no circumstances will there be consequential or punitive damages. However, some states do not allow the exclusion or limitation of punitive, incidental or consequential damages, so this limitation or exclusion may not apply to you.

Please note that even after termination, certain provisions of the Terms, such as ownership provisions, warranty disclaimers, indemnity, and limitations of liability, will continue to apply.

These Terms shall be governed and construed in accordance with the laws of the State of Delaware without regard to its conflict of law provisions.

Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights. If any provision of these Terms is held to be invalid or unenforceable by a court, the remaining provisions of these Terms will remain in effect. These Terms constitute the entire agreement between us regarding our Service and supersede and replace any prior agreements we might have had between us regarding Service.

We reserve the right to withdraw or amend our Service, and any service or material we provide via Service, in our sole discretion without notice. We will not be liable if for any reason all or any part of Service is unavailable at any time or for any period. From time to time, we may restrict access to some parts of Service, or the entire Service, to users, including registered users.
